Terms of Service 

Welcome to the services operated by Hallo, Inc., also known as “Hallo” consisting of the website available at hallo.ai, and its network of websites, software applications, or any other products or services offered by Hallo (the “Hallo Services”). Other services offered by Hallo may be subject to separate terms. 

When using the Hallo Services, you will be subject to Hallo’s Terms of Service and Privacy Policy, and you will be subject to additional guidelines or rules that are posted on the Hallo Services or made available to you, or applicable to specific services and features that are disclosed to you in connection with such services. Hallo may also offer certain paid services, which are subject to any terms or conditions that are disclosed to you in connection with such services.

The Terms of Service apply whether you are a user that registers an account with the Hallo Services or an unregistered user. You agree that by clicking “Sign Up” or otherwise registering, accessing or using the Hallo Services, you are entering into a legally binding agreement between you and Hallo regarding your use of the Hallo Services. You acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these Terms of Service, do not access or otherwise use any of the Hallo Services.

When using or opening an account with Hallo on behalf of a company, entity, or organization (collectively, “Subscribing Organization”), you represent and warrant that you: (i) are an authorized representative of that Subscribing Organization with the authority to bind that organization to these Terms of Service and grant the licenses set forth herein; and (ii) agree to these Terms of Service on behalf of such Subscribing Organization.

If a Subscribing Organization has entered into a separate written agreement with Hallo governing the Services, that agreement will control in the event of any conflict with these Terms.

  1. Service Use

You may access and use the Services for your personal use or, if applicable, for the internal business purposes of your organization as permitted under any separate agreement with Hallo. You agree not to use the Services for any illegal or unauthorized purpose or in violation of any applicable laws or regulations. You are responsible for maintaining the security and confidentiality of any devices used to access the Services and preventing unauthorized access to the Services. You may not use the Services to infringe upon the intellectual property rights of any third party. Sharing or copying of content created or made available through the Services is strictly prohibited unless expressly permitted by Hallo or applicable law.

Hallo retains all right, title, and interest in and to the Services, including all software, algorithms, scoring methodologies, models, interfaces, documentation, and related intellectual property. As between Hallo and a Subscribing Organization, the Subscribing Organization retains ownership of all data uploaded to the Services and all assessment results generated for its candidates or personnel (“Customer Data”). The Subscribing Organization grants Hallo a limited, non-exclusive, worldwide license to host, process, and use Customer Data solely for the purpose of providing, maintaining, improving, and developing the Services during the term of the applicable agreement. Notwithstanding the foregoing, Hallo may retain and use Customer Data in de-identified or aggregated form that does not reasonably identify an individual, for lawful business purposes consistent with this Agreement, including analytics, research, benchmarking, and training and enhancing Hallo’s machine learning and artificial intelligence models, unless otherwise expressly restricted in a separate written agreement or Data Processing Agreement between the parties. Any such use will be conducted in accordance with applicable law and the Privacy Policy.

Any documentation or information provided with or obtained through the Services may only be used in accordance with this Agreement or as directed by the party directing your use of the Services.

  1. Modification of these Terms of Service

Hallo may amend any of the terms of these Terms of Service by posting the terms. Your continued use of the Hallo Services after the effective date of the revised Terms of Service constitutes your acceptance of the terms.

  1. Consent to data transmission 

By using the Services, you consent to the transmission of standard device information and usage data including, where applicable, proctoring-related data to Hallo in accordance with its Privacy Policy below. 

  1. Proctoring and Monitoring

To maintain the integrity, security, and validity of assessments and other monitored activities conducted through the Services, Hallo may utilize automated and human-assisted proctoring measures.

These measures may include the periodic or continuous capture of screenshots, still images, audio recordings, video recordings, or screen recordings during your use of the Services. Recordings may be reviewed by authorized Hallo personnel, authorized representatives of Subscribing Organizations, or authorized service providers acting on Hallo’s behalf, solely for the purposes described in this section.

Such recordings are collected solely for proctoring, fraud prevention, quality assurance, and assessment integrity purposes, and not for marketing, advertising, or unrelated monitoring activities.

By accessing or using proctored features of the Services, you expressly consent to the collection, use, processing, storage, and review of such recordings in accordance with these Terms of Service and Hallo’s Privacy Policy. Recordings will be retained only for as long as reasonably necessary to fulfill these purposes, unless a longer retention period is required by law or contractual obligation. Your rights with respect to personal data collected through proctoring activities are described in Hallo’s Privacy Policy, including any applicable rights of access, correction, deletion, and objection where required by law.

Certain Services or features may require proctoring and monitoring as a condition of access or participation. If you do not consent to such proctoring measures, you may be unable to use those Services or features.

5. Restrictions on use

You may not reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Hallo Services or any part thereof, except and only to the extent that this activity is expressly permitted by the law of your jurisdiction of residence. Renting, selling, leasing, or lending the Services or any related information to third parties is prohibited. You may not use the Services to access unauthorized services, accounts, networks, or data. 

6. Export compliance

You agree to comply with all domestic and international export laws and regulations applicable to the Services. 

7. Disclaimer of warranties 

The Services are provided “as is” without warranties of any kind, and Hallo disclaims all warranties, express or implied, including but not limited to fitness for a particular purpose and non-infringement.

The Services may include automated scoring, analytics, recommendations, or other outputs generated using artificial intelligence or machine learning models. Such features operate using probabilistic models and may not be error-free, complete, or suitable for any particular purpose. 

The Services are intended to support decision-making and are not designed to replace independent human judgment. Hallo does not make employment decisions and does not control or direct any hiring, promotion, compensation, termination, or other personnel decisions made by Subscribing Organizations. Subscribing Organizations are solely responsible for reviewing and validating assessment results, exercising independent judgment, and ensuring that their use of the Services complies with all applicable employment, anti-discrimination, and other laws and regulations. Hallo does not represent or warrant that the Services or any outputs will be compliant with, or sufficient under, any specific employment or anti-discrimination laws, including as applied to a particular Subscribing Organization’s use case. Subscribing Organizations are responsible for configuring and using the Services appropriately for their intended use, providing any required notices to candidates or employees, and implementing appropriate human oversight consistent with applicable law.

The Services utilize artificial intelligence and machine learning systems. Hallo designs the Services to support human oversight and responsible use and to maintain risk management, testing, monitoring, and security measures intended to promote reliability and robustness and to support customers’ compliance with applicable law, including, where applicable, the EU Artificial Intelligence Act. Where required by applicable law, Hallo will provide appropriate information regarding the general functioning and characteristics of such systems in accordance with applicable transparency obligations.

The Services are not intended to be used as a solely automated decision-making system where such use is restricted or prohibited by applicable law, and are designed to support meaningful human review.

8. Indemnification 

Subscribing Organizations agree to indemnify, defend, and hold harmless Hallo from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (i) the Subscribing Organization’s use of the Services, (ii) any employment or other decisions made in reliance on the Services, or (iii) the Subscribing Organization’s violation of applicable law.

If you use the Services on behalf of a Subscribing Organization, you agree that the Subscribing Organization is responsible for your use.

9. Governing law and jurisdiction

This Agreement is governed by the laws of the State of Utah, subject to Section 14 (Applicable Law and Venue).

10. Account security 

You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. 

11. Attorney fees 

In the event of any legal action related to this Agreement, the prevailing party shall be entitled to recover reasonable attorney fees and costs. 

12. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 

13. Limitation of Liability and Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (A) IN NO EVENT SHALL HALLO OR THE HALLO PARTIES BE LIABLE FOR ANY DIRECT, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO LOSS OF USE, LOSS OF PROFITS OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT, TORT (INCLUDING BUT NOT LIMITED TO NEGLIGENCE) OR OTHERWISE, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OF OR INABILITY TO USE THE HALLO SERVICES, THE CONTENT OR THE MATERIALS, INCLUDING WITHOUT LIMITATION ANY DAMAGES CAUSED BY OR RESULTING FROM RELIANCE BY USER ON ANY INFORMATION OBTAINED FROM HALLO, OR THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR EMAIL, ERRORS, DEFECTS, VIRUSES, DELAYS IN OPERATION OR TRANSMISSION OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT RESULTING FROM ACTS OF GOD, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION OR UNAUTHORIZED ACCESS TO HALLO’S RECORDS, PROGRAMS OR SERVICES; AND (B) IN NO EVENT SHALL THE AGGREGATE LIABILITY OF HALLO, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE, WHETHER ACTIVE, PASSIVE OR IMPUTED), PRODUCT LIABILITY, STRICT LIABILITY OR OTHER THEORY, ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE HALLO SERVICES EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THE HALLO SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM OR ONE HUNDRED DOLLARS, WHICHEVER IS GREATER.

THESE LIMITATIONS OF LIABILITY ALSO APPLY WITH RESPECT TO DAMAGES INCURRED BY YOU BY REASON OF ANY PRODUCTS OR SERVICES SOLD OR PROVIDED ON ANY REFERENCE SITES OR OTHERWISE BY THIRD PARTIES OTHER THAN HALLO AND RECEIVED THROUGH OR ADVERTISED ON THE HALLO SERVICES OR RECEIVED THROUGH ANY REFERENCE SITES.

YOU ACKNOWLEDGE AND AGREE THAT HALLO HAS OFFERED THE HALLO SERVICES, USER CONTENT, MATERIALS AND OTHER CONTENT AND INFORMATION, SET ITS PRICES, AND ENTERED INTO THESE TERMS OF SERVICE IN RELIANCE UPON THE WARRANTY DISCLAIMERS AND THE LIMITATIONS OF LIABILITY SET FORTH HEREIN, THAT THE WARRANTY DISCLAIMERS AND THE LIMITATIONS OF LIABILITY SET FORTH HEREIN REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND HALLO, AND THAT THE WARRANTY DISCLAIMERS AND THE LIMITATIONS OF LIABILITY SET FORTH HEREIN FORM AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND HALLO. HALLO WOULD NOT BE ABLE TO PROVIDE THE HALLO SERVICES TO YOU ON AN ECONOMICALLY REASONABLE BASIS WITHOUT THESE LIMITATIONS.

14. Applicable Law and Venue

(i) To the fullest extent permitted by applicable law, you and Hallo agree that if you are a Subscribing Organization or a consumer resident of a jurisdiction other than those in (ii) below, the following governing law and arbitration provision applies:

PLEASE READ THE FOLLOWING CAREFULLY BECAUSE IT REQUIRES YOU TO ARBITRATE DISPUTES WITH HALLO AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM HALLO.

You and Hallo agree to arbitrate any dispute arising from these Terms of Service or your use of the Hallo Services, except that you and Hallo are not required to arbitrate any dispute in which either party seeks equitable and other relief for the alleged unlawful use of copyrights, trademarks, trade names, logos, trade secrets, or patents. ARBITRATION PREVENTS YOU FROM SUING IN COURT OR FROM HAVING A JURY TRIAL. You and Hallo agree that you will notify each other in writing of any dispute within thirty (30) days of when it arises. Notice to Hallo shall be sent to Hallo, Inc. You and Hallo further agree: to attempt informal resolution prior to any demand for arbitration; that any arbitration will occur in Utah County, Utah; that arbitration will be conducted confidentially by a single arbitrator; and that the state or federal courts in Utah County, Utah have exclusive jurisdiction over any appeals of an arbitration award and over any suit between the parties not subject to arbitration. Other than class procedures and remedies discussed below, the arbitrator has the authority to grant any remedy that would otherwise be available in court. Any dispute between the parties will be governed by this Agreement and the laws of the State of Utah and applicable United States law, without giving effect to any conflict of laws principles that may provide for the application of the law of another jurisdiction. Whether the dispute is heard in arbitration or in court, you and Hallo will not commence against the other class action, class arbitration or other representative action or proceeding.

(ii)     If you are a resident in any jurisdiction in which the provision in the section above is found to be unenforceable, then the following shall apply:

Any disputes, claims or causes of action arising out of or in connection with these Terms of Service will be governed by and construed under the laws of the jurisdiction of your residence. 

15. Claims

YOU AND HALLO AGREE THAT ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE HALLO SERVICES MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

16. Miscellaneous

If we fail to exercise or enforce any right or provision of these Terms of Service, it will not constitute a waiver of such right or provision. Any waiver of any provision of these Terms of Service will be effective only if in writing and signed by the relevant party.

If any provision of these Terms of Service or any Guidelines is held to be unlawful, void, or for any reason unenforceable, then that provision will be limited or eliminated from these Terms of Service to the minimum extent necessary and will not affect the validity and enforceability of any remaining provisions.

These Terms of Service and related Guidelines, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Hallo without restriction. Any assignment attempted to be made in violation of this Terms of Service shall be void.

Upon termination of these Terms of Service, any provision which, by its nature or express terms should survive, will survive such termination or expiration, including, but not limited to the Sections above.

17. Entire Agreement

The Terms of Service, together with the Privacy Policy, constitute the entire agreement between you and Hallo relating to the subject matter herein and will not be modified except in writing, signed or otherwise agreed to by both parties, or by a change to these Terms of Service made by Hallo as set forth in the Sections above.

Privacy Policy

Your privacy is very important to us. We designed our data policy to make important disclosures about how you can use Hallo to share with others and how we collect and can use your content and information. We encourage you to read the data policy described at the end of the document, and to use it to help you make informed decisions.

We always seek to improve our Services to you, and that requires that we collect, store, share, and use information about you and your usage preferences. As we do so, we are committed to protecting your privacy and the security of your personal information and that of your customers.

In this Privacy Policy, we use the word “Data” to describe all the information we collect that relates to you and your use of our Services. Because of the nature of our Services, the term “Data” also includes the information, including personally identifiable information, you gather and process that you upload to the Services. We rely on your compliance with our Terms of Service.

The term “Data” does not apply to de-identified, anonymized, and aggregated data that may be derived from Data, that cannot be reasonably connected with any individual, (“De-identified Data”). We may use De-identified Data for lawful business purposes, including analytics, research, product development, benchmarking, and improvement of the Services, in any manner consistent with applicable law.

We provide access to www.hallo.ai and the related software tools through which language abilities can be tested and assessed successfully. In this Privacy Policy, all tools and services made available in connection with our platform, including our website, web applications, tools, and any other services that we provide directly to you, whether now known or developed later, are included in the term “Services.”

1. Lawful basis for processing 

Many jurisdictions require that we disclose to you the lawful basis for our processing of your Data throughout this Privacy Policy. In general, our lawful basis for processing your Data is based on your specific consent or your contract with us.

By accessing or using any of the Services or by otherwise interacting with us, you consent to our use of your Data as described in this Privacy Policy. If our processing of your Data is based on your consent, you may withdraw your consent at any time, and we will cease collecting your Data. However, in some cases, this may result in your inability to receive partial or full access to the Services, and your withdrawal of consent does not limit our ability to use the De-Identified Data for use by us in connection with our business efforts in the future. In addition, your withdrawal of consent may not prevent us from retaining and processing Data if we have gathered such Data pursuant to a different lawful basis or to preserve legal claims. 

When you enter into an agreement with us, either by accessing the Services, by executing an agreement in hard copy, or by clicking “I Accept” or similar language online, we will process your Data for the purposes of fulfilling the terms of our contract with you. In that case, our processing of your Data is based on the contract, so your withdrawal of consent will only be effective after the purposes for processing these Data have been fulfilled and after we no longer have a legal obligation to keep these Data.

In all cases, we will comply with applicable law, and we will cease processing your Data after the legal right, obligation, or other lawful basis expires.

2. Intended users

The Services are directed to persons 18 years of age or older or of children 13 years of age or older who have a parent’s, legal guardian’s, or other caregiver’s consent. Other than for Data collected for the specific purpose of providing the Services to users, we do not knowingly collect Data from users who are under 13. If we become aware that we have gathered Data from a person under 13, except to provide the Services to such person, and except to the extent allowed or required by law, then we will attempt to delete such Data as soon as possible, subject to our obligations under applicable law. For K-12 clients, we do not gather any private information but use De-identified Data only. 

3. Data information 

We process Data for the purposes described in this Privacy Policy, for purposes reasonably compatible with those described purposes, or as otherwise permitted or required by applicable law. Where required by law, we will obtain your consent before processing Data for materially different purposes.

Registration data may consist of the name and email address, or other information you provide us using the Services, both when you register for the Services and thereafter. Registration Data also includes your client type, and other applicable registration information, if any. For K-12 clients, we use De-identified Data for registration.

Our lawful basis for processing registration data is our contract with you and your consent. We can only provide certain of the Services to you if we have the registration data, so we need to store and access that registration data during the term of our contract. Even when the registration data is not critically necessary to the provision of the Services, we may still process that registration data to facilitate our contractual interactions with you. 

Registration data is accessible generally only to us and to you. We use registration data to provide the Services to you. At times, we will share the registration data with other third parties at your request. We will never share your password with any third party. 

4. Your rights regarding your data

Under applicable data protection, privacy, and other laws, you have certain rights concerning your access and control of your Data. These rights include: Access, Correction, Update, or Deletion: You have the right to access, correct, update, or request deletion of your Data. You can object to processing or restrict the processing of your Data. However, please note that exercising this right may limit or eliminate our ability to provide you with the Services. You have the right to request the portability of your Data. You can submit a complaint to any applicable regulatory authority about our processing activities. You have the right to limit the use, disclosure, and restriction of sensitive personal information. Please note that exercising any of these rights may limit or eliminate our ability to provide you with the Services, and we may terminate the Services accordingly. We will strive to comply with your request(s) as soon as reasonably practicable and at least as required by applicable law. 

A. Privacy for EU/UK Residents

The General Data Protection Regulation (Regulation (EU) 2016/679) (“GDPR”), effective in Europe since May 25, 2018, mandates that we transparently describe to data subjects the data we collect and how we utilize it. This Privacy Policy fulfills that requirement.

While we are based in the United States, Data relating to EU and EEA residents may be processed and stored in the European Union and, where necessary for the provision of the Services, transferred to and processed in the United States or other jurisdictions.

Where Data is transferred outside the EU/EEA, we rely on appropriate safeguards as required under the GDPR, including standard contractual clauses or other lawful transfer mechanisms.

Depending on the nature of the Services provided, Hallo may act either as a “Controller” or a “Processor” (also referred to as a “Data Processor”) as defined under the GDPR.

Where Hallo provides Services directly to individual users, Hallo typically acts as a Controller with respect to personal data processed in connection with those Services.

Where Hallo provides Services to a Subscribing Organization that determines the purposes and means of processing candidate or employee data, Hallo acts as a Processor on behalf of the Subscribing Organization. In such cases, the parties’ respective obligations are governed by a separate Data Processing Agreement (or similar written agreement) between Hallo and the Subscribing Organization.

Pursuant to the GDPR, residents of the EU (and the European Economic Area, as applicable) have the right to ascertain whether we maintain personal information concerning them in the United States. Upon request, we will provide access to the Data we hold about you. 

Moreover, if you are a resident of the United Kingdom (“UK”), to the extent the GDPR, as incorporated into UK law pursuant to the European Union (Withdrawal) Act 2018, differs from the GDPR, we will adhere to all supplemental requirements under the UK GDPR, and you retain all rights as a UK citizen under the UK GDPR.

B. Privacy for California Residents

California introduced the California Consumer Privacy Act (“CCPA”) at the beginning of 2020, followed by the California Privacy Rights Act (“CPRA”), portions of which took effect on January 1, 2022. We adhere to the CCPA and CPRA requirements to the extent they apply to us.

If you are a California resident, you have the right to request the exercise of your rights for any Data we have processed in the 12 months preceding your request. This covers categories, sources, purposes, and, if applicable, third parties with whom we share the Data. Furthermore, you can exercise any of your rights free of discrimination; for instance, we cannot adjust the price or quality of our Services based on your exercise of rights.

Given the nature of our Services, we typically operate as a “business” as defined under the CCPA and CPRA.

C. Privacy for Canada Residents

To meet the strict laws and regulations for Canadian organizations, for certain Canadian customers, Data may be stored in Canada where required or as configured by the customer and available for the Services, and you have the right to request the exercise of your rights for any Data we have processed. 

D. Privacy for Other Jurisdictions

We strive to comply with all data protection and privacy laws in applicable jurisdictions, to the extent such laws apply to us and our Services. We strive to be transparent about our data processing activities and have disclosed our practices throughout this Privacy Policy. 

5. Security 

The security of your Data is of utmost importance to us. Our technical, administrative, and physical safeguards are designed to protect the Data you provide to us. Hallo maintains a comprehensive information security program aligned with internationally recognized standards. Hallo is ISO/IEC 27001 certified and has undergone a SOC 2 Type II examination. Details regarding scope and reporting periods may be provided upon request subject to confidentiality. These frameworks involve ongoing risk assessments, security controls, monitoring, and independent third-party assessment of applicable controls.

6. Third-party policies

You may access third-party websites, tools, services, or products via a link on our website or through our tools. Please note that the privacy policies of these third parties are not under our control and may differ from ours. The use of any Data you provide to third parties will be governed by their privacy policy or your independent agreement with them. If you have any doubts about the privacy of the information you are providing to a third party, we recommend contacting them directly for more information or to review their privacy policy. This Privacy Policy does not address, and we are not responsible for, the privacy, information, or other practices of any third parties, including those operating any offerings, sites, or other products and Services used in connection with the Services. Inclusion of a link does not imply endorsement by us or our affiliates. 

7. Data retention

We will retain your Data for as long as necessary for the identified purpose or as required by law, which may extend beyond the termination of our relationship with you. We may retain certain Data to prevent fraud or future abuse, for legitimate business purposes, such as analysis of De-Identified Data, account recovery, or as required by law. All retained information will remain subject to the terms of this Privacy Policy. 

8. Amendment of this privacy policy

We retain the prerogative to modify this Privacy Policy at our discretion. Unless explicitly stated otherwise, the most recent version of this Privacy Policy governs all data in our possession regarding you and your account. We advise you to retain a printed copy of this Privacy Policy for your records and periodically review it to stay informed of any alterations. Your ongoing utilization of the Services implies your acknowledgment and acceptance of any revisions made.

本規約は、本サービスにアカウント登録を行うユーザーおよび未登録ユーザーのいずれにも適用されます。「Sign Up」をクリックすること、登録すること、本サービスへアクセス又は利用することにより、お客様は本サービスの利用に関して当社との間で法的拘束力を有する契約を締結することに同意したものとみなされます。
本規約を十分に読み、理解し、これに拘束されることに同意するものとします。本規約に同意しない場合は、本サービスへアクセス又は利用してはなりません。

お客様が企業、団体又は組織(以下「契約組織」といいます。)を代表して本サービスを利用又はアカウントを開設する場合、以下を表明し保証するものとします。

  1. 当該契約組織を本規約に拘束する権限を有する正式な代表者であること

  2. 本規約に定めるライセンス付与を含め、本規約に契約組織を代理して同意すること

契約組織が当社との間で本サービスに関する別途の書面契約を締結している場合、当該契約が本規約に優先します。

第1条 サービスの利用

お客様は、個人的利用、又は適用される別途契約に従い、契約組織の内部業務目的に限り本サービスを利用することができます。
違法又は無許可の目的、もしくは適用法令に違反する方法で本サービスを利用してはなりません。

お客様は、本サービスへアクセスする端末の安全管理および機密保持について責任を負います。
第三者の知的財産権を侵害する目的で本サービスを利用してはなりません。
当社が明示的に許可する場合又は法令により認められる場合を除き、本サービス上のコンテンツの共有又は複製は禁止されます。

第2条 知的財産およびデータ

当社は、本サービス(ソフトウェア、アルゴリズム、採点手法、モデル、インターフェース、文書および関連する知的財産を含む)に関する一切の権利、権原および利益を保有します。

当社と契約組織との間では、本サービスにアップロードされたデータおよび候補者又は従業員に関して生成された評価結果(以下「顧客データ」といいます。)の所有権は契約組織に帰属します。

契約組織は、本サービスの提供、維持、改善および開発の目的に限り、契約期間中、顧客データをホスト、処理および利用するための非独占的かつ全世界的ライセンスを当社に付与します。

上記にかかわらず、当社は、個人を合理的に特定できない形に匿名化又は集計されたデータについて、適用法令に従い、分析、研究、ベンチマーキング、製品改善、並びに機械学習および人工知能モデルの訓練および高度化を含む合法的事業目的で利用することができます。ただし、別途の書面契約又はデータ処理契約により明示的に制限される場合を除きます。

第3条 規約の変更

当社は、本規約を随時改訂することができます。改訂後の規約の効力発生日以降に本サービスを継続利用した場合、お客様は改訂内容に同意したものとみなされます。

第4条 データ送信への同意

本サービスを利用することにより、お客様は、当社のプライバシーポリシーに従い、標準的なデバイス情報、利用状況データ、並びに必要に応じてプロクタリング関連データが当社へ送信されることに同意します。

第5条 プロクタリングおよび監視

本サービスにおける評価の完全性および安全性を確保するため、当社は自動および人的支援による監視措置を実施する場合があります。

これには、スクリーンショット、静止画、音声録音、動画録画、画面録画等の取得が含まれる場合があります。
これらの記録は、本人確認、不正防止、品質保証、評価の完全性確保の目的に限り利用され、マーケティング目的には使用されません。

第6条 保証の否認

本サービスは「現状有姿」で提供され、明示又は黙示を問わずいかなる保証も行いません。

本サービスには、人工知能又は機械学習により生成される自動採点、分析、推奨その他の出力が含まれる場合があります。これらは確率モデルに基づいており、誤りがないこと、完全であること、特定目的に適合することを保証するものではありません。

本サービスは意思決定を支援するためのものであり、人間の独立した判断を代替するものではありません。
当社は雇用決定を行うものではなく、採用、昇進、解雇その他の人事決定について責任を負いません。

契約組織は、適用される雇用法および差別禁止法を含む法令への適合について単独で責任を負います。

第7条 補償

契約組織は、本サービスの利用又は人事決定に関連して生じた請求について、当社を補償し、防御し、免責するものとします。

第8条 準拠法

本規約は、ユタ州法に準拠します。

第9条 責任の制限

適用法令で許容される最大限の範囲において、当社の責任総額は、請求発生前12か月間に支払われた金額又は100米ドルのいずれか高い額を上限とします。

第10条 紛争解決

原則として、紛争はユタ州において仲裁により解決されます。集団訴訟は認められません。

第11条 その他

本規約のいずれかの条項が無効とされた場合でも、その他の条項は有効に存続します。

 

第12条 完全合意

本規約およびプライバシーポリシーは、当社とお客様との間の完全な合意を構成します。

プライバシーポリシー

当社は、お客様のプライバシーを極めて重要なものと認識しております。本プライバシーポリシーは、お客様がHalloを通じてどのように情報を共有できるか、また当社がどのようにお客様のコンテンツおよび情報を収集・利用するかについて、重要な事項を開示するために策定されています。十分にお読みいただき、適切な判断の参考としていただくことをお勧めいたします。

当社は、サービス向上のために継続的な改善を行っております。その過程において、お客様およびお客様の利用状況に関する情報を収集、保存、共有および利用する必要があります。当社はこれらの取扱いにあたり、お客様およびお客様の顧客の個人情報の保護および安全確保に努めます。

本プライバシーポリシーにおいて、「データ」とは、当社が収集する、お客様およびお客様による本サービスの利用に関連するすべての情報を意味します。本サービスの性質上、「データ」には、お客様が本サービスにアップロードする情報(個人を特定し得る情報を含みます)であって、お客様が収集および処理する情報も含まれます。お客様は、当社利用規約を遵守することを前提とします。

「データ」には、合理的に特定の個人と結び付けることができない形式に匿名化・非識別化・集計された情報(以下「非識別化データ」といいます。)は含まれません。当社は、適用法令に従い、分析、研究、製品開発、ベンチマーキング、本サービスの改善などの合法的な事業目的のために、非識別化データを利用することがあります。

当社は、www.hallo.ai および関連ソフトウェアツールを通じて、言語能力の評価・測定を可能にするサービスを提供しています。本プライバシーポリシーにおいて、「本サービス」とは、現在提供されているか将来開発されるかを問わず、当社プラットフォームに関連して提供されるすべてのウェブサイト、ウェブアプリケーション、ツールおよびその他のサービスを含みます。

1. データ処理の法的根拠

多くの法域において、個人データ処理の法的根拠を開示することが求められています。当社によるデータ処理の法的根拠は、主としてお客様の同意または当社との契約に基づきます。

お客様が本サービスにアクセスし、利用し、または当社と何らかの形でやり取りを行うことにより、本プライバシーポリシーに記載されたデータの利用に同意したものとみなされます。データ処理が同意に基づく場合、お客様はいつでも同意を撤回することができます。ただし、その場合、本サービスの全部または一部をご利用いただけなくなることがあります。また、同意撤回は、非識別化データの利用や、他の法的根拠に基づき処理されたデータの保持を妨げるものではありません。

お客様が当社と契約を締結した場合(本サービスへのアクセス、書面契約の締結、「I Accept」等のクリックを含む)、当社は契約履行の目的でデータを処理します。この場合、処理の法的根拠は契約に基づくものとなります。

当社は、常に適用法令を遵守し、法的根拠が消滅した場合にはデータ処理を停止します。

2. 利用対象者

本サービスは、18歳以上の方、または保護者の同意を得た13歳以上の方を対象としています。当社は、サービス提供に必要な場合を除き、13歳未満の方から故意にデータを収集することはありません。

13歳未満の方のデータを取得していることが判明した場合、法令により認められる場合を除き、速やかに削除するよう努めます。

K-12向けクライアントについては、個人情報は取得せず、非識別化データのみを利用します。

3. データの利用目的

当社は、本プライバシーポリシーに記載された目的、これらと合理的に関連する目的、または法令で許容もしくは要求される目的のためにデータを処理します。

登録データには、氏名、メールアドレス、クライアント種別その他提供された情報が含まれます。当社は契約履行および同意に基づきこれらを処理します。

登録データは、原則として当社およびお客様のみがアクセス可能です。当社はサービス提供のために利用し、お客様の要請により第三者と共有することがあります。パスワードを第三者と共有することはありません。

4. お客様の権利

適用されるデータ保護法に基づき、お客様は以下の権利を有する場合があります:

  • アクセス権

  • 訂正・更新・削除請求権

  • 処理への異議申立権

  • 処理制限請求権

  • データポータビリティ権

  • 規制当局への苦情申立権

  • 機微情報の利用制限請求権

これらの権利行使により、本サービスの全部または一部をご利用いただけなくなる場合があります。

A. EU/UK居住者向け

当社はGDPRおよびUK GDPRを遵守します。EU/EEA外へのデータ移転にあたっては、標準契約条項等の適切な保護措置を講じます。

当社は状況に応じて「管理者」または「処理者」として行動します。契約組織向けサービスにおいては、通常、当社は処理者となります。

B. カリフォルニア州居住者向け

当社はCCPAおよびCPRAに適用される範囲で準拠します。差別なく権利を行使できます。

C. カナダ居住者向け

必要に応じてカナダ国内でデータを保存します。

D. その他の法域

当社は適用法令を遵守します。

5. セキュリティ

当社は、技術的・管理的・物理的安全対策を講じています。当社はISO/IEC 27001認証を取得しており、SOC 2 Type II監査を受けています。これらは継続的なリスク評価、統制、監視、第三者検証を含みます。

6. 第三者ポリシー

第三者サイトのプライバシー慣行について当社は責任を負いません。

7. データ保持

当社は、目的達成に必要な期間または法令で要求される期間、データを保持します。

8. 改定

当社は本ポリシーを改定する場合があります。継続利用により改定に同意したものとみなされます。
